Terms of Service

1. Acceptance of Terms

By accessing or using Avinya Plus ("the Service"), you agree to be bound by these Terms of Service. If you are accepting on behalf of a clinic or organisation, you represent that you have the authority to bind that entity. If you do not agree, do not use the Service.

2. Description of Service

Avinya Plus provides a cloud-based clinic management platform including patient records management, appointment scheduling, prescription management, GST-compliant billing, and multi-branch access controls. The Service is intended for use by licensed healthcare professionals and their authorised administrative staff in India.

3. Account Registration

  • ·You must provide accurate and complete registration information.
  • ·You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
  • ·You must notify us immediately at hello@avinyaplus.com if you suspect unauthorised access to your account.

4. Acceptable Use

You agree not to:

  • ·Use the Service for any unlawful purpose or in violation of Indian law
  • ·Enter false, misleading, or fraudulent patient or billing information
  • ·Attempt to access another clinic's data or circumvent access controls
  • ·Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • ·Resell, sublicence, or provide access to the Service to third parties without our written consent

5. Data Ownership

All patient records, clinic data, and content you enter into Avinya Plus remain your property. You grant Avinya Plus a limited licence to process this data solely to provide the Service. You may export your data at any time. Upon account termination, we will retain your data for 30 days before permanent deletion, unless a longer period is required by law.

6. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for losses arising from downtime outside of agreed SLA terms (where applicable under a paid plan).

7. Fees & Payment

During the early access period, the Service is provided at no charge. Paid plans, pricing, and billing terms will be communicated prior to any charges. GST will be applied as required under Indian tax law. All fees are non-refundable unless otherwise stated.

8. Termination

Either party may terminate the agreement at any time. We may suspend or terminate accounts that violate these Terms, with notice where practicable. Upon termination, your right to use the Service ceases immediately.

9. Limitation of Liability

To the maximum extent permitted by law, Avinya Plus shall not be liable for indirect, incidental, special, or consequential damages arising from use of the Service, including loss of data, revenue, or patients. Our total liability in any calendar month shall not exceed the fees paid by you in that month.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

11. Changes to These Terms

We may revise these Terms as the Service evolves. Material changes will be communicated via email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
